Practice encompasses counseling and trial practice in the fields of corporate, business, securities and real estate matters in state and federal courts, as well as appellate practice. Have conducted all aspects of pleading, discovery, pretrial and trial of complex civil actions involving breach of contract, deceptive trade practices, securities fraud, and other business torts. Discharged responsibility for all aspects of trials in state and federal courts.
Have represented both brokers and customers in arbitration proceedings before the National Association of Securities Dealers, Inc.. Prepared statements of claim and answers. Discharged all other responsibilities for NASD hearings through the award. Member NASD Board of Arbitrators.
Have represented numerous clients regarding general corporate parnership and securities matters, including executive pay, stock transfers, shareholders' meetings, amendments and changes in capital, and merger, consolidation, and sale of assets. Have prepared articles of incorporation, bylaws, minutes of meetings of organization, sharehlder and director consents and minutes, amended articles of incorporation, restated articles of incorporation, shareholder agreements, buy-sell agreements, asset purchase agreements, and merger documents. Have prepared partnership agreements and certificates of limited partnership.
Have represented numerous clients regarding various real estate matters involving conveyances, including preparation of deeds, deeds of trust, promissory notes, and title curative documents. Have represented clients in matters involving encroachments, obstruction of light, air or view, fences, party walls, easements, nuisances, boundary line agreements, title insurance policy coverage, trespass partitions. Have conducted foreclosure sales and represented clients in related bankruptcy proceedings and evictions.
